What you’ll do
Vodafone Investments manages Vodafone’s strategic investments, partnerships and joint ventures across nearly 45 markets. The division focuses on strong governance, value creation, and supporting Vodafone’s long-term growth strategy.
The Senior Manager Investments Governance will lead corporate governance activities across Vodafone Investments, ensuring effective governance frameworks, board support, regulatory compliance, risk oversight and best-in-class governance practices across a portfolio of investments, joint ventures and Group entities.
Acting as a trusted adviser to senior leaders, directors and investment boards, the role combines company secretarial expertise with broader governance, risk and compliance responsibilities.
Governance & Board Support
- Lead and enhance governance frameworks across Vodafone Investments.
- Advise senior leaders and directors on governance best practices and director duties.
- Support boards and committees, including meeting management, governance documentation and approvals.
- Act as Company Secretary for selected entities.
Joint Venture & Investment Governance
- Support governance across Vodafone’s global investment and JV portfolio.
- Train and advise board-appointed directors.
- Review board materials and provide governance briefings.
- Manage director appointments, governance records and ownership changes.
Risk, Compliance & Assurance
- Partner with Legal, Risk, Compliance and Internal Audit teams to strengthen risk and control frameworks.
- Support the implementation of governance, compliance and risk programmes across the division.
Stakeholder Management
- Build strong relationships with Executive Committee members, directors and senior executives.
- Provide governance briefings, inductions and ongoing support to board members.
- Collaborate across multiple jurisdictions and cultures to drive effective governance outcomes.
Who you are
• Significant Company Secretary experience within a FTSE-listed organisation or large multinational corporate.
• Extensive experience and confidence with supporting Boards, Committees and senior executive leadership teams.
• Strong experience working within complex international governance structures.
• Experience supporting joint ventures, investments and multi-jurisdictional entities, working with complex subsidiary and joint venture structures.
• Proven track record of influencing senior stakeholders and directors.
• Experience leading governance transformation and improvement initiatives.
• Expert knowledge of UK corporate governance and the Companies Act 2006, with a strong understanding of listed company governance requirements.
• Knowledge of risk management, governance and assurance frameworks.
• Experience supporting M&A transactions and corporate restructurings.
• Familiarity with governance technology platforms including Diligent Entities
• Individual should be commercially minded, pragmatic, proactive and solutions-focused; have strong political awareness and stakeholder management skills; demonstrate exceptional judgement and discretion; and be highly organised with outstanding attention to detail; be resilient and comfortable operating in a complex and evolving environment; and pride themselves on being credible, collaborative and an influential leader.
• Excellent written and verbal communication skills with experience of influencing stakeholder behaviour and delivering training.
• Fluency in English is essential.
• Experience of and/or demonstrated interest in tech and telco industries highly preferred but not essential.
