Role Purpose/Business Unit:

 

The principal specialist (assistant company secretarial) role is a board governance role within Vodacom South Africa, and with a functional reporting line to the company secretary of Vodacom South Africa. The role requires high standards of professional conduct and diligence to ensure that:

  • Companies’ compliance with the Companies Act, JSE Listings Requirements, King IV, and all other governance and statutory requirements;
  • Statutory records are maintained and returns are timeously filed with CIPC;
  • Board and shareholder meetings are planned and administered smoothly; and
  • Advice provided to key stakeholders.

Your responsibilities will include:

 

  • Ensure compliance with the Companies Act, JSE listing requirements, King IV and all other governance and statutory requirements;
  • Ensure board and board-related governance activities are efficiently administered including inter alia the planning and coordinating of the corporate meeting calendar, collating meeting papers, drafting resolutions and obtaining approval for the same;
  • Provide support and advice to directors and management on their duties and responsibilities, and be comfortable engaging with directors and executives on complex governance matters; 
  • Continuously benchmark the Company Secretarial function and implement best practice, raise the profile of the Company Secretarial function within Vodacom and Vodafone Group; and
  • Conduct research on new legislation impacting the governance of companies and provide recommendations.

The ideal candidate for this role will have:

 

  • CIS, BCom, LLB (minimum 3-year degree/diploma)
  • Proven professional with 10 to 15 years’ experience at a senior level which must include a minimum of 5 years statutory work
  • Able to fulfill the role of a ‘trusted advisor’ to business 
  • Liaison at the board and executive level
  • Prepared to travel (African countries) if required


Core competencies, knowledge and experience:

  • Demonstrable ability to work under pressure
  • Excellent English communication skills- both oral and written (writing and reporting)
  • Comfortable to liaise with directors and executives
  • Excellent planning and organising skills
